ENDTIME LIGHT CHRISTIAN ASSOCIATION

CONSTITUTION

1. NAME

The name of the Association shall be "ENDTIME LIGHT CHRISTIAN ASSOCIATION" (hereinafter "the Association").

2. THE ASSOCIATION

The Association shall consist of those persons who maintain a regular fellowship together at the Church Centre and who actively support the work of the Association with their free will, tithes and offerings. Such persons shall each be entitled to a single vote on matters falling under the POWERS of the Association as set out hereunder.

3. OBJECT

The purpose and object of the Association shall be the establishing and maintaining of a non-Denominational body of Christian persons whose sole object is to further the Gospel of Jesus Christ in such manner as it may think fit inter alia by:

(a) Providing a centre at which the public can attend and participate in its Church Services;

(b) undertaking Evangelistic programmes;

(c) publishing, distributing and advertising books and documents of a religious nature.

4. POWERS

In pursuance of its purposes and objects, the Association may:

(a) Elect a Pastor;

(b) elect other Office Bearers as and when required or necessary to carry out such purposes or objects;

(c) buy, own, sell, lease, hire, exchange, donate, mortgage, or otherwise acquire or alienate or encumber property either movable or immovable;

(d) borrow money with or without security;

(e) invest the money of the Association in such manner as it shall think fit and open and operate Bank or Building Society Accounts for this purpose;

(f) decide, from time to time, the manner in which the purposes and objects of the Association shall be fulfilled with a view of furthering the Gospel of Jesus Christ;

(g) prescribe the procedure for meetings of the Association or any sub-committee thereof;

(h) generally deal with the property and the funds of the Association for the objects and purposes of the Association and do all things necessary or required in connexion with the carrying out of such purposes and objects.

5. OFFICE BEARERS

There shall at all times be at least two (2) Office Bearers of the Association, namely a Pastor and a Trustee.

6. THE PASTOR

The duties of a Pastor shall be:

(a) To minister the word of God along the guide-lines of the Ministry and teachings of Rev. William Branham;

(b) to conduct and act upon any programme which he believes to be the plan of God, according to the word of God. To this end, he solely shall assume supreme authority and meet the initial responsibility of the Church, as to the keeping and promoting of its spiritual welfare; he shall be head of the Deacon Board, the Trustee Board, and the Church Body itself; acting in wisdom to lead God's Saints, manifesting love toward all the Saints and their burdens and conducting himself in perfect servitude in doing that which God has called and placed him to act upon;

(c) to be solely responsible for the publishing, distribution and advertising of religious books and documents;

(d) to be solely responsible for the collection of tithes and offerings and to decide upon the use and distribution of such monies;

(e) to have the sole signing powers of any documents dealing with any of the abovementioned specific matters;

(f) together with the Trustee, to handle the material affairs of the Association under the control of the Trustee set out below and to have joint signing powers with the Trustee for such purposes.

7. THE TRUSTEE

The duties of the Trustee shall be to deal with all matters of a material nature affecting the Association and to carry out the aims and objects of the Association in that regard as follows:

(a) to govern the welfare of the Church as a business group. He is elected to protect the Church in its financial matters, its business investments, the supervision of its properties, and its expenditure. He shall strongly consider every move of progress, step by step, which involves Church funds in relation to material matters. He shall be responsible to keep the Church from indebtedness, and the Saints from burdens that are too great to bear financially. In the undertaking of any project, regardless what it is, he is to bring the matter to the Pastor for consultation with the Pastor on every financial project that the Church wishes to invest or engage itself in being absolutely required;

(b) to cause Church or other buildings to be erected on the land of the Association;

(c) to maintain, repair or replace the movable or immovable property of the Association as shall be necessary;

(d) to have joint signing powers with the Pastor on any documents in connexion with the above matters.

8. THE DEACONS

The duties of the Deacons shall be to act as spiritual assistants to the Pastor on all his spiritual activities. They are given free speech in presenting to the Pastor any programme or benefits that would bless the general and spiritual welfare of the Church. They must be apt to teach, and ready to assist the Pastor on every duty if called to do so. They shall assist in serving communion. They shall be acting ushers in all services. They shall police the Church, in keeping civil order and conduct. They shall assist in taking local offerings. They shall oversee the spiritual conduct of the Church in working with the Pastor and one another on spiritual problems and matters of the saints. They shall be ready at any time to assist the need of every saint who is burdened and in need of spiritual consultation, or general welfare. They have not the right to act upon any programme or promotion without agreement with one another, the Pastor or the Trustee if the programme they are considering involves

church funds. They will be responsible before God for their conduct and manner of service, according to the word of God. They shall not have meetings among themselves without the Pastor present.

9. THE TREASURER

The responsibility of the Treasurer is to provide an exact account of the financial status of the present funds in the treasury. This report is to be made available to the Pastor or the Trustee upon his request for such a report. No other officer in the Church may have access to this information. He has not the authority to convey or acknowledge the financial status information to any acting officer in the Church but the Pastor. He shall not be a consultant in spiritual matters nor is it of need that he should attend meetings of the Deacons unless asked to do so by the Pastor.

10. CORPORATE STATUS:

(a) The Association shall be a body corporate, not for gain, with perpetual succession and the capacity to acquire rights and incur obligations independently of its members and no member shall have any rights by reason of his membership to the property of the Association.

(b) All the assets, funds or property of the Association shall be held or registered in the name of the Association.

(c) All the income and property of the Association shall be applied solely towards the promotion of its objects and no portion of such income or property shall be paid or transferred directly or indirectly to any member or members.

(d) Nothing contained in this clause shall prohibit

(i) the payment of a bona fide remuneration to any servant of the Association or to any member in consideration of any service actually tendered to the Association, or

(ii) the payment to members of the Association of travelling expenses or any other expenses.

11. LEGAL PROCEEDINGS

(a) The Association shall have power to sue or be sued in its own name.

(b) Authority to institute or defend legal proceedings shall be agreed upon at a General Meeting.

(c) In any action between the Association and a member or members of the Association, such member or members shall not be entitled to plead partnership.

12. ALTERATIONS OF THE CONSTITUTION:

(a) The Constitution of the Association may only be altered at a General Meeting.

(b) Ten (10) days' notice in writing of any resolution to a meeting proposing any alteration or addition to the Constitution shall be given to the trustee, who shall notify all members in writing seven (7) days prior to the meeting called to deal with the proposed resolution.

(c) No such resolution shall be deemed carried unless supported by two-thirds (⅔) of the members present.

13. DISSOLUTION OF THE ASSOCIATION:

(a) The Association shall be dissolved by a resolution passed by a majority of two-thirds (⅔) of the members present at a General Meeting.

(b) Twenty (20) days' notice in writing of such a meeting shall be given to every member.

(c) The notice shall clearly state that dissolution of the Association and disposal of its assets will be considered.

(d) If a resolution to dissolve the Association is passed, the Association shall be wound up under the supervision of the Trustee.

(e) If upon the winding up of the Association, there remains after the satisfaction of all the debts and liabilities, any property whatsoever, it shall not be paid to or

distributed amongst the members of the Association, but should be given or transferred to some institution or institutions having similar objects as the Association. This matter is to be determined on dissolution.

14. LIABILITY OF MEMBERS

The members are not personally liable for the debts of the Association.
